This Agreement (“Agreement”) is entered into between The Jasper Cacao Project Ltd. (“JC”) and the undersigned Ambassador (“Ambassador”), collectively referred to as the “Parties.”
1. Purpose
The Ambassador joins the Jasper Cacao Ambassador Program to share, promote, and distribute Jasper Cacao products within their community, subject to the terms outlined herein.
2. Stock & Supply
JC will provide cacao stock to the Ambassador with no upfront payment required. Stock will be supplied in quantities agreed upon between the Parties.
All supplies can only be Jasper Cacao Branded and not unbranded blocks.
3. Payment Terms
The Ambassador pays a monthly fee of £20 - covers time, support, training
The Ambassador agrees to submit a monthly sales report to JC by the final day of each month. Based on the reported sales, JC will issue an invoice to the Ambassador. The Ambassador must settle the invoice in full within 7 days of issuance, covering all sales made in the preceding month. Failure to make payment on time may result in suspension or termination of this Agreement.
4. Training & Certification
JC will provide Health and Hygiene Level 2 training, certification, and information necessary for the Ambassador to safely and responsibly host cacao events and sell cacao.
5. Ambassador Responsibilities
The Ambassador agrees to:
- Share Jasper cacao in classes, ceremonies, wellness events, or other approved gatherings.
- Educate their community on the benefits of cacao and JC’s mission.
- Maintain accurate sales records and report monthly to JC.
We require 1 full month’s notice to cancel this agreement. We cannot take stock back once sent, if you cancel your agreement, you will be invoiced for the remaining stock and will have the full months’ notice to pay the remaining balance which will be invoiced the day after cancellation, it must be paid by the last day to not breach this contract.
6. Liability & Insurance
JC provides liability insurance coverage in some cases for cacao serving at Ambassador-led events. The Ambassador must comply with all local health, safety, and event regulations and complete health and hygiene level 2 before selling or sharing jasper Cacao.
7. Term & Termination
This Agreement is effective from the signing date and continues unless terminated by either Party with 30 days’ written notice.
JC may terminate immediately in the event of non-payment or breach of terms.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom
